Terms of Service

1. Agreement
These Terms of Service ("Terms") constitute a binding agreement between you ("Customer", "you") and Red Sustentable Internacional S.A. de C.V. ("RSI", "Certexi", "we", "us"), governing your use of the Certexi platform, website, documentation, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
2. Service Description
Certexi provides Operational Evidence Infrastructure — software that captures, structures, validates, seals, and governs operational records. The Service may be deployed:
- On-premise: On your own infrastructure, under your full control
- Cloud: On infrastructure managed by RSI (Certexi Cloud)
3. Account Responsibilities
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activity under your account
- You must provide accurate and current registration information
- You must notify us immediately of any unauthorized access
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the integrity of the Service
- Reverse engineer, decompile, or disassemble the Service
- Resell, sublicense, or redistribute access without written authorization
- Use the Service to store or transmit malicious code
5. Data Ownership
Your data is yours. You retain all rights, title, and interest in your operational data, evidence records, configurations, and any content you create or upload.
For on-premise deployments, your data never leaves your infrastructure unless you configure it to do so. We have no access to your operational data in on-premise deployments.
For Cloud deployments, we act as a data processor. We process your data only as necessary to provide the Service and in accordance with our Privacy Policy and any applicable Data Processing Agreement.
6. Intellectual Property
RSI retains all rights to the Certexi platform, including its software, documentation, interfaces, designs, and trademarks. These Terms do not grant you any right to use RSI's trademarks or branding without prior written consent.
The Service is licensed, not sold. Your subscription grants a limited, non-exclusive, non-transferable right to use the Service for the duration of your subscription term.
7. Pricing & Payment
- Pricing is determined by deployment scope and is specified in your order agreement
- Payments are processed by Stripe. You agree to Stripe's terms of service for payment processing
- Fees are non-refundable except as required by applicable law
- We may adjust pricing with 60 days' written notice
8. Service Level
For Cloud deployments, service level commitments are specified in the applicable SLA document provided with Enterprise agreements. On-premise deployments operate under your infrastructure team's SLA.
9. Support
Support scope and response times depend on your subscription tier:
- Scoped Deployment: Direct product team access during evaluation
- Operational Deployment: Email support with 24-hour response
- Enterprise: Dedicated support engineer with SLA guarantees
10. Confidentiality
Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Confidential information does not include information that is publicly available, independently developed, or lawfully received from a third party.
11. Warranties & Disclaimers
We warrant that the Service will perform substantially in accordance with its documentation. If it does not, your exclusive remedy is for us to correct the non-conformance or, if we cannot do so within a reasonable period, terminate your subscription and refund prepaid fees for the unused portion.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RSI'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL RSI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
13. Term & Termination
- These Terms are effective until terminated
- Either party may terminate with 30 days' written notice
- We may terminate immediately if you breach these Terms
- Upon termination, your right to use the Service ceases. For Cloud deployments, we will make your data available for export for 30 days after termination
14. Governing Law
These Terms are governed by the laws of Mexico. Any disputes shall be resolved in the courts of Veracruz, Mexico, except where prohibited by applicable law. Nothing in these Terms limits your rights under mandatory consumer protection laws in your jurisdiction.
15. Changes
We may update these Terms with 30 days' notice. Material changes will be communicated via email. Continued use after the effective date constitutes acceptance.
